Lead Fill Service Agreement By clicking "I Agree," you confirm that you have read, understood, and accept the following terms and conditions set forth by Lead Fill. This agreement becomes effective upon initial payment and covers an initial 90-day commitment, automatically renewing on a month-to-month basis unless canceled as specified below.

1. Subscription and Payment

Monthly Subscription Fee: A recurring fee of $399 will be charged every 30 days from the date of your first payment to cover ad management, web design, and CRM system access. Payment Authorization: You authorize Lead Fill to use the credit card provided for the initial payment for ongoing ad spend on platforms such as Google and Facebook, as outlined in the setup form. All charges will be billed through the designated platforms in addition to the subscription fee. Ad Spend Authorization: By submitting this form, you confirm that the monthly ad spend limit specified will be applied to your Google and Facebook ad campaigns, and you consent to any additional charges necessary to meet these targets.

2. Referral Program

Referral Payout: Under the Lead Fill referral program, you will receive a payout of $200 for each client you refer, with payment issued once the referred client’s payment is received by Lead Fill. Expense Reimbursement: Reimbursements for internet, phone, and advertising expenses up to a maximum of $200 per month will begin after the second month of service. To qualify, you must submit bills for verification, and reimbursement will be issued directly to your designated bank account.

3. Contract Duration and Termination

Initial Contract Term: This agreement includes a 90-day initial term. If canceled before 90 days, a $500 early termination fee will apply. Renewal and Cancellation: After the initial term, the contract will continue month-to-month. Either party may cancel with a 30-day written notice, effective at the end of the 30-day period.

4. Privacy and Data Protection

Data Use and Consent: Lead Fill will use your provided information solely for creating, managing, and optimizing ad campaigns. We are committed to maintaining the confidentiality of your data and will only share necessary details to execute services. Confidentiality Agreement: Lead Fill agrees not to disclose or distribute any personal, business, or financial information without your written consent, except where required to fulfill our service commitments or comply with legal requirements. Platform Security: All client data, payment information, and account credentials will be securely stored and used in compliance with applicable privacy laws.

5. Service Scope and Results

No Guarantee of Results: Lead Fill utilizes AI-driven methods and best practices to maximize ad performance. However, we cannot guarantee specific business outcomes and are not responsible for variable results. Service Boundaries: Lead Fill will provide setup and management of ad campaigns based on the information submitted. Requests for significant changes or additional services may result in separate charges. Non-Disclosure of Materials: Clients agree not to share, disclose, or distribute campaign assets, ad copy, or proprietary materials provided by Lead Fill to any third parties.

6. Legal and Dispute Resolution

Governing Law: This Agreement is governed by the laws of the State of California, without regard to conflicts of law principles. Dispute Venue: Any legal disputes shall be resolved in Los Angeles County, California. Mediation Requirement: Before initiating formal legal action, both parties agree to participate in a mediation process in Los Angeles County, California, facilitated by a neutral third-party mediator.

7. Acceptance of Terms

By checking "I Agree," you confirm that you have reviewed this agreement in its entirety and agree to abide by all terms without modification.
